Welcome to Omero Digital, operated by Omero Digital LLC (“Omero Digital,” “we,” “us,” “our”). These Terms and Conditions (“Terms”) govern your access to https://omerodigital.com (the “Site”) and the purchase or use of our digital products, services, consultations, and resources (collectively, the “Services”).

By accessing the Site or purchasing any Service or digital product, you agree to be bound by these Terms. If you do not agree, please discontinue use of the Site and Services.


1. Services Overview

Omero Digital provides professional digital services and products, including but not limited to:

  • Web design and development
  • UX/UI design, wireframes, prototypes, and conversion-focused systems
  • Branding, positioning, and creative strategy
  • Landing pages, SaaS-focused websites, and funnel strategy
  • Analytics setup, tracking, onboarding, and technical configuration
  • Consulting, audits, and strategic implementation support
  • Digital products such as templates, frameworks, guides, assets, and tools

Each engagement or product may have a specific scope, timeline, price, and deliverables defined in an invoice, proposal, agreement, or written communication.


2. Digital Products

2.1 Product Types

Digital products may include:

  • Website templates and page assets
  • Branding kits, design systems, and UI frameworks
  • Marketing tools, funnels, scripts, spreadsheets, and guides
  • Creative assets, icons, UI packs, and downloadable files
  • Training materials and PDF-based resources

2.2 Delivery

Digital products may be delivered via:

  • Instant download
  • Download link sent by email
  • Secure access to a dashboard, portal, or shared folder

Delivery is considered complete once access is provided or the product is made available. We maintain access and delivery logs for compliance and dispute resolution.

2.3 Refunds for Digital Products

Due to the nature of digital goods, all digital product sales are final and non-refundable once delivered or accessed, except in cases of verified duplicate charges or technical delivery errors that cannot be resolved.


3. Payments & Billing

  • Payments are processed through approved payment providers such as Stripe, Wise, PayPal, Mercury, or Payoneer.
  • Invoices must be paid in full before services begin unless otherwise stated in writing.
  • For services, payments are considered final once work has begun or deliverables are shared.
  • For digital products, all sales are final upon delivery.

To meet compliance requirements, we may retain:

  • Transaction and invoice records
  • Proof of delivery or access
  • Communication history and project documentation

We reserve the right to apply fraud screening and request additional verification for suspicious or high-risk transactions.


4. Client Responsibilities

Clients agree to:

  • Provide accurate information and required assets in a timely manner
  • Grant necessary access (hosting, platforms, analytics, etc.)
  • Ensure all provided materials comply with copyright and licensing laws
  • Communicate professionally and in good faith

Delays or issues caused by missing information or lack of response do not constitute grounds for cancellation or refund.


5. Refund Policy (Services)

Because services are customized and time-based, refunds are not provided once work has begun, onboarding is completed, or any deliverable is shared.

Refunds will not be issued due to:

  • Change of mind
  • Lack of implementation by the Client
  • Client delays or missing assets
  • Internal expectations not reflected in the agreed scope

If concerns arise, we encourage clients to contact us so we can work toward a reasonable resolution within the project scope.


6. Project Timelines & Delivery

Project timelines depend on scope, complexity, and client responsiveness.
If required assets or feedback are delayed, timelines will automatically adjust accordingly.


7. Revisions

The number of included revisions is defined in the proposal, invoice, or agreement.
Additional revisions or scope changes may incur additional fees and will be discussed in advance.


8. Intellectual Property

8.1 Final Deliverables

Upon full payment, clients receive a license to use the final deliverables for their intended commercial purposes unless otherwise specified.

8.2 Working Files

Editable source files, working files, and raw assets remain the property of Omero Digital unless explicitly included or licensed separately.

8.3 Portfolio Use

Unless confidentiality is requested in writing, Omero Digital may display completed work in portfolios or case studies.

8.4 Third-Party Materials

Clients are responsible for licensing third-party fonts, images, plugins, or software unless otherwise stated in writing.


9. Confidentiality

We respect client confidentiality and access accounts only for project-related purposes.
Clients should provide credentials securely and revoke access upon project completion if desired.


10. Marketing & Performance Disclaimer

If marketing, analytics, or advertising services are provided:

  • Results are not guaranteed
  • Advertising spend is paid directly by the client to platforms
  • Outcomes depend on multiple external factors beyond our control

Refunds are not issued based on performance metrics or business outcomes.


11. Limitation of Liability

To the maximum extent permitted by law, Omero Digital shall not be liable for:

  • Loss of revenue, profits, or business opportunities
  • Platform outages, third-party service failures, or algorithm changes
  • Indirect, incidental, or consequential damages

Our total liability is limited to the amount paid for the specific service or product giving rise to the claim.


12. Dispute Resolution

Before initiating disputes or chargebacks, clients agree to:

  • Contact us directly
  • Provide reasonable details of the issue
  • Allow a reasonable opportunity for resolution

We maintain documentation to fairly resolve disputes when necessary.


13. Termination of Services

We reserve the right to suspend or terminate services if:

  • Payments are reversed or disputed without reasonable cause
  • These Terms are violated
  • Communication becomes abusive or unprofessional

Termination does not automatically entitle refunds for completed work or reserved time.


14. Governing Law

These Terms are governed by the laws of the United States and the State of New Mexico. Any disputes shall be resolved exclusively in New Mexico courts.
